ORC dissolves 323 companies, including Ashanti Cement and Ghana Poultry, after notice period expires

The Office of the Registrar of Companies (ORC) has dissolved 323 companies after the statutory period for responding to an earlier notice of its intention to remove them from Ghana’s Companies Register expired.

The affected entities were formally struck off under Section 289(5) of the Companies Act, 2019 (Act 992), according to Volume 49 of the Companies Bulletin dated October 15, 2026.

The Registrar indicated that the intention to remove the companies had earlier been published in Volume 40 of the Companies Bulletin, giving the affected entities an opportunity to show cause why their names should not be removed.

However, the notice period expired without sufficient cause being shown against the proposed action, leading to their removal from the register.

In the latest publication, the Registrar stated, “The Registrar of Companies has struck off the underlisted companies pursuant to Section 289(5) of the Companies Act, 2019 (Act 992).”

The notice further declared, “TAKE NOTE and NOTICE IS HEREBY GIVEN, that I have struck the underlisted names off the Register of Companies, and that the said companies stand dissolved.”

The 323 entities cut across several sectors, including agriculture, manufacturing, construction, trading, transport, pharmaceuticals and food production.

Among the companies dissolved are Ashanti Cement Limited, Ghana Poultry Ltd, Ghana Rice Ltd, Ghana Plastic Industry Limited, Premier Shipping Limited, Volta Industries Limited and Ablekuma Farms Limited.

Others include Ghana Breweries Limited, Aluminium Manufacturing Limited, Adojah Fisheries Limited, Premier Industrial Limited and West African Chemical Limited.

The dissolution follows the statutory strike-off process under Section 289 of Act 992, which provides the legal framework for removing companies from the register.

The Registrar’s action underscores the consequences of failing to respond to statutory notices during the prescribed period.

The bulletin, however, does not specify the individual circumstances of each company or provide details on why the entities were initially targeted for removal.
